Treaty between the United Kingdom and China respecting commercial relations, etc. (')

His Majesty the King of the United Kingdom of Great Britain and Ireland and of the British Dominions beyond the Seas, Emperor of India, and His Majesty the Emperor of China, having resolved to enter into negotiations with a view to carrying out the provision contained in Article II of the Final Protocol signed at Peking on the 7th September 1901, under which the Chinese Government agreed to negotiate the amendments deemed useful by the foreign Governments to the Treaties of Commerce and Navigation and other subjects concerning commercial relations with the object of facilitating them, have for that purpose named as their Plenipotentiaries, that is to say:

His Majesty the King of Great Britain and Ireland, His Majesty's Special Commissioner, Sir James Lyle Mackay, Knight Commander of the Most Eminent Order of the Indian Empire, a member of the Council of the Secretary of State for India, etc.

And His Majesty the Emperor of China, the Imperial Commissioners

Sa Majesté le Roi du Royaume-Uni de Grande-Bretagne et d'Irlande et des possessions britanniques d'au delà des mers, Empereur de l'Inde, et Sa Majesté l'Empereur de Chine, ayant résolu d'entrer en négociations, dans le but d'exécuter la prévision contenue en l'article 11 du protocole final signé à Pékin le 7 septembre 1901 (2), par lequel le gouvernement chinois a accepté de négocier les modifications, jugées utiles par les gouvernements étrangers aux traités de commerce et de navigation et autres matières concernant les relations commerciales, afin de les faciliter, ont, dans ce but, désigné comme leurs plénipotentiaires :

Sa Majesté le roi de Grande-Bretagne et d'Irlande, le commissaire spécial de Sa Majesté, Sir James Lyle Mackay, chevalier commandeur de l'Ordre très éminent de l'Empire indien, membre du Conseil du Secrétaire d'Etat pour l'Inde, etc.;

Who having communicated to each other their respective full powers, and found them to be in good and due form have agreed upon and concluded the following Articles :

ARTICLE I

Delay having occurred in the past in the issue of Drawback Certificates owing to the fact that those documents have to be dealt with by the Superintendent of Customs at a distance from the Customs Office, it is now agreed that Drawback Certificates shall hereafter in all cases be issued by the Imperial Maritime Customs within three weeks of the presentation to the Customs of the papers entitling the applicant to receive such Drawback Certificates.

These Certificates shall be valid tender to the Customs authorities in payment of any duty upon goods imported or exported (transit dues excep ted), or shall, in the case of Drawbacks on foreign goods re-exported abroad within three years from the date of importation, be payable in cash without deduction by the Customs Bank at the place where the import duty was paid.

But if, in connection with any application for a Drawback Certificate, the Customs authorities discover an attempt to defraud the revenue, the applicant shall be liable to a fine not exceeding five times the amount of

Qui, s'étant communiqué leurs pleins pouvoirs respectifs et les ayant trouvés en bonne et due forme, se sont entendus sur les articles suivants, qu'ils ont acceptés :

ARTICLE 1°r

Des retards s'étant produits pour la délivrance des certificats de drawback, par suite de ce fait que ces documents doivent passer par les mains du surintendant des douanes, dont la résidence se trouve éloignée du bureau des douanes, il est convenu maintenant que les certificats de drawback devront à l'avenir, dans tous les cas, être délivrés par les Douanes Maritimes Impériales, dans les trois semaines de la présentation aux douanes des pièces qui donnent qualité au requérant pour recevoir les dits certificats.

Ces certificats seront admis, par les autorités des douanes, en paiement de tout droit sur marchandises importées et exportées (sauf les droits de transit), ou seront, dans le cas de drawback sur des marchandises étrangères réexportées à l'étranger dans les trois ans à dater de l'importation, payables en espèces, sans déduction, par la Banque des douanes, au lieu où le droit d'importation aura été payé.

Mais si, à l'occasion d'une demande de certificat de drawback, les autorités des douanes découvrent une tentative en vue de frauder le Trésor, requérant sera passible, ou d'une amende n'excédant pas cinq fois

ARTICLE II

China agrees to take the necessary steps to provide for a uniform national coinage which shall be legal tender in payment of all duties, taxes and other obligations throughout the Empire by British as well as Chinese subjects.

ARTICLE III

China agrees that the duties and likin combined levied on goods carried by junks from Hong Kong to the Treaty ports in the Canton Province and vice versa, shall together not be less than the duties cbarged by the Imperial Maritime Customs on similar goods carried by steamer.

ARTICLE IV

Whereas questions have arisen in the past concerning the right of Chinese subjects to invest money in non-Chinese enterprises and companies, and whereas it is a matter of common knowledge that large sums of Chinese capital are so invested, China hereby agrees to recognise the legality of all such investments past, present and future.

ARTICLE II

La Chine s'engage à prendre les mesures nécessaires pour établir une monnaie nationale uniforme, qui sera monnaie légale pour le paiement detous droits, taxes et autres obligations, dans tout l'Empire, par les sujets britanniques aussi bien que par les sujets chinois.

ARTICLE III

La Chine consent à ce que les droits et li-kin combinés, levés sur les marchandises portées par jonques de Hong-Kong aux ports à traité dans la province de Canton et vice-versa, ne soient pas inférieurs, ensemble, aux droits imposés par les douanes maritimes impériales sur les marchandises similaires portées par bateaux à vapeur.

ARTICLE IV

Des contestations s'étant élevées en ce qui concerne le droit, pour les sujets chinois, de placer de l'argent dans des entreprises et des compagnies non chinoises, et comme il est de notoriété publique que des capitaux chinois considérables ont été ainsi placées, la Chine s'engage, par les présentes, à reconnaître la légalité de tels placements, passés, présents et futurs.

It being, moreover, of the utmost importance that all share-holders in a Joint-Stock Company should stand on a footing of perfect equality as far as mutual obligations are concerned, China further agrees that Chinese subjects who have or may become shareholders in any British JointStock Company shall be held to have accepted, by the very act of becoming shareholders, the Charter of Incorporation or Memorandum and Articles of Association of such Company and regulations framed thereunder as interpreted by British Courts, and that Chinese Courts shall enforce compliance therewith by such Chinese shareholders, if a suit to that effect be entered, provided always that their liability shall not be other or greater than that of British shareholders in the same Company.

Similarly the British Government agree that British subjects investing in Chinese Companies shall be under the same obligations as the Chinese shareholders in such Companies.

The foregoing shall not apply to cases which have already been before the Courts and been dismissed.

ARTICLE V

The Chinese Government undertake to remove within the next two years the artificial obstructions to navigation in the Canton River. The Chinese Government also agree to improve the accommodation for shipping in the harbour of Canton and to take the necessary steps to maintain

Il est, de plus, de la plus haute importance que tous les actionnaires d'une compagnie par actions soient placés sur un pied de parfaite égalité en ce qui concerne les obligations mutuelles; la Chine consent donc encore à ce que les sujets chinois qui sont devenus ou pourront devenir actionnaires d'une compagnie par actions britannique, soient regardés comme ayant accepté, par le seul fait qu'ils sont devenus actionnaires, la charte d'incorporation ou le memorandum et les statuts de la dite compagnie et les règlements établis en conséquence, selon l'interprétation des tribunaux britanniques; les tribunaux chinois tiendront donc la main à ce que les actionnaires chinois s'y conforment, si un procès était intenté à ce sujet, sous la réserve, toutefois, que leurs obligations ne seront ni autres, ni plus étendues que celle des actionnaires britanniques de la même compagnie.

Semblablement, le gouvernement britannique déclare que les sujets britanniques plaçant des capitaux dans des compagnies chinoises seront soumis aux mêmes obligations que les actionnaires chinois de ces compagnies.

Ce qui précède ne s'applique pas aux cas qui ont déjà été soumis aux tribunaux et ont été rayés du rôle.

ARTICLE V

Le gouvernement chinois s'engage à supprimer, d'ici à deux ans, les obstacles qui s'opposent à la navigation, dans la rivière de Canton. Le gouverneinent chinois s'engage aussi à améliorer les aménagements pour la navigation dans le port de Canton, et à prendre les mesures nécessaires

that improvement, such work to be carried out by the Imperial Maritime Customs and the cost thereof to be defrayed by a tax on goods landed and shipped by British and Chinese alike according to a scale to be arranged between the merchants and Customs.

The Chinese Government are aware of the desirability of improving the navigability by steamer of the waterway between Ichang and Chungking, but are also fully aware that such improvement might involve heavy expense and would affect the interests of the population of the Provinces of Szechuen, Hunan, and Hupeh. It is, therefore, mutually agreed that until improvements can be carried out steam-ship owners shall be allowed, subject to approval by the Imperial Maritime Customs, to erect, at their own expense, appliances for hauling through the rapids. Such appliances shall be at the disposal of all vessels, both steamers and junks, subject to regulations to be drawn up by the Imperial Maritime Customs. These appliances shall not obstruct the waterway or interfere with the free passage of junks. Signal stations and channel marks where and when necessary shall be erected by the Imperial Maritime Customs. Should any practical scheme be presented for improving the waterway and assisting navigation without injury to the local population or cost to the Chinese Government, it shall be considered by the latter in a friendly spirit.

Le gouvernement chinois comprend combien il est désirable d'améliorer la navigabilité, pour les bateaux à vapeur, de la voie fluviale entre Itchang et Tchung-King; mais il comprend pleinement aussi qu'une pareille amélioration entraînerait de fortes dépenses et affecterait les intérêts de la population des provinces de Szetchouen, de Hounan et de Houpeh. Il est donc mutuellement convenu que, jusqu'à ce que les améliorations puissent être exécutées, les propriétaires de bateaux à vapeur auront le droit sauf approbation des Douanes Maritimes Impériales - d'installer, à leurs propres frais, les appareils nécessaires au halage à travers les rapides. Ces appareils seront à la disposition de tous navires, vapeurs ou jonques, conformément aux règlements qui devront être établis par les Douanes Maritimes Impériales. Ces appareils ne devront pas obstruer la voie ni empêcher le libre passage des jonques. Des stations à signaux et des balises, aux lieux et temps où elles seront nécessaires, seront établies par les Douanes maritimes impériales. Si quelque projet pratique d'amélioration de la voie fluviale et d'assistance à la navigation, sans qu'il en résultât un dommage pour la population locale ou une dépense pour le gouvernement chinois, était présenté, ce gouvernement devrait l'examiner avec des dispositions amicales.
